These Terms of Service apply to the website at https://nerdsys.co.za/ and to services provided by New Edge Revolution Digital Systems, based in Paulshof, Gauteng, South Africa. By using this website, requesting a quote, approving a proposal, or paying an invoice, you agree to these terms unless a signed agreement says otherwise.

1. Services

New Edge Revolution Digital Systems provides practical digital services for businesses, including WordPress websites, website maintenance, SEO content, social media support, and paid ads. The exact services, deliverables, fees, timelines, and responsibilities for each project or ongoing engagement will be set out in the relevant quote, proposal, invoice, message thread, or written agreement.

2. Quotes, scope, and approvals

Projects are quoted up front based on the information available at the time. A quote is valid for the period stated in the quote, or for 14 days if no period is stated. Work begins once the quote is approved, any required payment is received, and the required access, content, and instructions have been provided.

Anything not clearly included in the approved scope is treated as a change request. This may include extra pages, additional design rounds, new integrations, urgent turnaround, new campaign assets, extra copywriting, migration work, troubleshooting third-party systems, or changes requested after approval. Change requests may affect price and timeline.

3. Client responsibilities

To complete work properly, you agree to provide accurate information, timely feedback, access to the relevant accounts, brand assets, content, approvals, and any legal or compliance requirements that apply to your business. You are responsible for making sure that the information you provide is accurate, lawful, and suitable for publication.

If a project is delayed because content, access, feedback, or approvals are not provided on time, timelines may move. If a project remains inactive for more than 30 days because we are waiting for client input, we may pause the project and reschedule the remaining work based on availability.

4. Payments

Projects are invoiced directly and paid through a secure payment link or another payment method agreed in writing. Larger projects may require a deposit or staged payments. Ongoing services, such as website care, content support, social media support, or advertising management, are billed on a recurring basis unless agreed otherwise.

Fees are due according to the invoice terms. Late payment may result in work being paused, scheduled launch dates being moved, or ongoing support being suspended until the account is brought up to date. Third-party costs, including hosting, domains, plugins, themes, stock assets, advertising spend, email platforms, and software subscriptions, are not included unless specifically stated in the quote.

5. Revisions and changes

Reasonable revisions are included when they form part of the approved scope. Revisions are intended to refine agreed work, not to restart the project with a different direction. Major changes, new concepts, new sections, extra pages, additional ad sets, new content topics, or repeated rounds of changes may be quoted separately.

6. Timelines and delivery

We aim to meet agreed timelines, but delivery dates depend on timely client input, third-party platform availability, technical conditions, and the complexity of the work. Any delivery date is an estimate unless it is expressly described as a fixed deadline in writing.

7. Website maintenance and technical support

Website maintenance may include updates, backups, checks, fixes, content updates, and practical support, depending on the plan or agreement. Maintenance reduces risk but does not guarantee that a website will never experience downtime, bugs, hacking attempts, plugin conflicts, hosting issues, or third-party service interruptions.

Emergency support, malware cleanup, major rebuilds, hosting migrations, custom development, plugin replacement, or recovery from issues caused by third parties may be quoted separately unless already included in the agreed support plan.

8. SEO, content, social media, and paid ads

SEO content, social media work, and paid ads are built around strategy, clarity, consistency, and practical improvement. We do not guarantee specific rankings, traffic numbers, sales, leads, ad approvals, platform decisions, or revenue results. Search engines, social platforms, and advertising platforms change their rules, systems, and performance factors over time.

You are responsible for your offer, pricing, fulfilment, claims, industry compliance, and how enquiries are handled after they reach you. Advertising spend is separate from management fees unless expressly included, and you remain responsible for approving budgets, offers, targeting, and published claims.

9. Third-party tools and accounts

Many digital projects rely on third-party services such as WordPress, hosting providers, domain registrars, email platforms, analytics tools, advertising platforms, payment providers, plugins, themes, and social networks. These services are governed by their own terms, pricing, uptime, security, and policies. We are not responsible for failures, changes, charges, restrictions, or decisions made by third-party providers.

10. Intellectual property

Once all amounts due for a project have been paid, you own the final custom deliverables created for you, such as approved website copy, page layouts, graphics, and campaign assets, unless agreed otherwise. This does not include pre-existing materials, internal processes, reusable templates, code libraries, licensed software, plugins, themes, stock assets, fonts, or third-party materials.

You confirm that you have the right to use any logos, images, videos, text, testimonials, data, trademarks, product information, and other materials you provide. You are responsible for any claims that arise from materials or instructions supplied by you.

11. Portfolio use

Unless you request confidentiality in writing before work begins, we may mention completed work in our portfolio, case studies, proposals, and marketing materials. We will not share confidential business information, private access details, unpublished strategy, or sensitive account data without permission.

12. Confidentiality

Each party agrees to treat non-public business, technical, financial, access, and project information as confidential. Confidential information may be shared with trusted service providers or contractors only where needed to deliver the work, and they are expected to handle that information responsibly.

13. Cancellation and refunds

You may cancel a project by giving written notice. If work has not started, a refund may be possible after deducting any transaction costs or committed third-party costs. If work has started, fees remain payable for work already completed, time already allocated, third-party costs, and any deliverables already prepared.

Ongoing services may be cancelled before the next billing period unless a different notice period is agreed. Fees already paid for active billing periods, completed work, or committed third-party costs are generally not refundable.

14. Acceptable use

You agree not to use our website, services, or work product for unlawful, misleading, harmful, abusive, infringing, fraudulent, or malicious purposes. We may refuse, pause, or end work if a project involves unlawful content, deceptive claims, spam, malware, hate speech, exploitation, or activity that could harm our reputation, systems, or other clients.

15. Limitation of liability

We provide services with reasonable care and skill, but we cannot guarantee uninterrupted website operation, specific marketing results, platform approval, search rankings, ad performance, or freedom from all technical issues. To the fullest extent permitted by law, New Edge Revolution Digital Systems will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages.

Where liability cannot be excluded, our total liability for a claim related to a service will be limited to the amount paid for the specific service giving rise to the claim, unless applicable law requires otherwise.

16. Privacy

Personal information is handled according to our Privacy Policy. By using this website or working with us, you acknowledge that we may process personal information needed to respond to enquiries, prepare quotes, deliver services, manage accounts, communicate with you, and meet legal or business obligations.

17. Governing law

These terms are governed by the laws of South Africa. If a dispute arises, both parties agree to first try to resolve it in good faith through direct communication before taking further action.

18. Changes to these terms

We may update these terms from time to time. The latest version will be posted on this page with the updated date. Continued use of the website or services after changes are posted means you accept the updated terms.
